28 september 2007 - Aankondiging van Fortis, RBS en Santander in
verband met Amerikaanse regelgeving
Op 21 juli 2007 hebben Fortis, RBS en Santander (samen de "Banken")
formeel hun bod uitgebracht op ABN AMRO (het "Bod") via hun
gezamenlijke acquisitiemaatschappij RFS Holdings. De Banken hebben
sindsdien een aantal ontwikkelingen met betrekking tot het Bod
bekendgemaakt, waaronder het verkrijgen van een aantal van de
benodigde goedkeuringen van aandeelhouders en toezichthouders. Deze
aankondiging wordt gedaan om te voldoen aan de vereisten van de
Amerikaanse toezichthouders.
Zoals overwogen in het Biedingsbericht maakt RFS Holdings hierbij
bekend dat zij zich het recht voorbehoudt (maar hiertoe niet
verplicht is) om afstand te doen van de minimumvoorwaarde voor
acceptatie (zoals nader omschreven in het Biedingsbericht, de
"Minimumvoorwaarde voor Acceptatie ") na het verstrijken van het Bod
in het geval dat het aantal gewone aandelen ABN AMRO dat geldig is
aangeboden en niet is ingetrokken, tezamen met alle gewone aandelen
ABN AMRO die door RFS Holdings worden gehouden, ten minste een
meerderheid van de uitgegeven en uitstaande gewone aandelen ABN AMRO
vertegenwoordigt, berekend na volledige verwatering. Met deze
aankondiging wordt geen afstand gedaan van de Minimumvoorwaarde voor
Acceptatie zelf.
De aanmeldingstermijn voor het Bod eindigt op 5 oktober 2007 om 15.00
uur Amsterdamse tijd (9 uur 's ochtends in New York City), tenzij de
initiële aanmeldingstermijn wordt verlengd. Intrekkingsrechten
verlopen na het verstrijken van het Bod. ABN AMRO aandeelhouders die
hun gewone aandelen ABN AMRO al voor het Bod hebben aangeboden maar
van wie de bereidheid om deze aan te bieden wordt beïnvloed doordat
er afstand wordt gedaan van de minimumvoorwaarden voor acceptatie,
dienen hun aanbod onmiddellijk in te trekken, of in elk geval voordat
het Bod verstrijkt.
Op 19 juli 2007 heeft RFS Holdings een bevestiging ontvangen van de
Amerikaanse Federal Trade Commission dat het verzoek tot beëindiging
van de wachttermijn krachtens de Hart-Scott-Rodino Antitrust
Improvements Act van 1976, zoals gewijzigd (de ''HSR Act'') was
goedgekeurd in verband met de voorgenomen overname van ABN AMRO,
waarmee wordt voldaan aan voorwaarde (g) van het Bod voor zover deze
betrekking heeft op de toepassing van de HSR Act op de overname van
ABN AMRO. RFS Holdings maakt hierbij bekend dat er, voorafgaand aan
het verstrijken van het Bod, geen goedkeuring zal zijn verkregen
krachtens de HSR Act voor de voorgenomen reorganisatie van ABN AMRO
na de afronding van het bod. Aangezien deze goedkeuring niet is
verkregen, ziet RFS Holdings af van het recht om een beroep te doen
op de betreffende clausule van voorwaarde (g) van het Bod.
Niettegenstaande het voorgaande behoudt RFS Holdings het recht (maar
is hiertoe niet verplicht) een beroep te doen op de rest van
voorwaarde (g) in geval daarvan geen afstand is gedaan of daaraan is
voldaan.
Exemplaren van het Biedingsbericht en van andere documenten die door
verwijzing in het Biedingsbericht zijn opgenomen, kunnen, behoudens
dezelfde beperkingen als die voor het Bod gelden, kosteloos worden
verkregen door contact op te nemen met het Nederlandse
omwisselkantoor of de global information agent op de hierna genoemde
