Versatel koopt minderheidsbelang in haar Duitse operatie
Amsterdam, 16 augustus 2004 Versatel Telecom International N.V. heeft vandaag aangekondigd dat het
bedrijf het 10,5% uitstaande minderheidsbelang van Telco Executive in Versatel's Duitse dochteronderneming
Versatel Deutschland Holding GmbH ("VDH") zal overnemen door de uitgifte van 15 miljoen Versatel aandelen.
Bij de slotprijs van 1,36 van het aandeel van vandaag, vertegenwoordigt dit een waarde van ongeveer 20
miljoen. Dit betekent een besparing van 30% ten opzichte van de 29 miljoen welke momenteel verschuldigd
zou zijn aan Telco Executive conform de overeengekomen put/call regeling als onderdeel van de acquisitie van
tesion en CompleTel Germany vorig jaar. De aandelen van Telco Executive zijn gebonden aan een `lock-up'
periode tot 4 november 2004.
Peter Löw, Managing Director van Telco Executive verklaarde: "Na de lock-up periode is het de intentie van
Telco Executive om de meerderheid van onze investering vast te houden vanwege het feit dat wij in de sterke
groeimogelijkheden van Versatel geloven. Echter mochten we besluiten om te desinvesteren dan zijn we
overeengekomen om dit op een georganiseerde wijze te doen en in een tijdspanne die de normale handel in
het aandeel Versatel niet verstoort."
