Amsterdam, 15 maart 2004 - AOT N.V. en Effectenbank Binck N.V. maken hierbij bekend dat overeenstemming is bereikt over de overname door AOT van het 48,0% minderheidsbelang in Binck, waarna AOT (indirect) een belang van 100% in Binck houdt. Beide partijen hebben hiertoe gisteren een intentieverklaring ondertekend.

André Teeuw, directievoorzitter van AOT:

Bovendien kunnen kostenvoordelen worden behaald door het samenvoegen van ondersteunende activiteiten en inkoopkrachtbundeling."

Kalo Bagijn, directeur van Binck:

Rationale transactie

De combinatie van AOT en Binck zal - na de recente reorganisatie binnen AOT, waarbij verlieslatende activiteiten beëindigd zijn en de kostenbasis significant verbeterd is - een solide financiële instelling met een uitstekend groeiperspectief en winstpotentieel opleveren. Door nauwere samenwerking op het gebied van operationele diensten en infrastructuur alsmede inkoopkrachtbundeling kunnen er bovendien aanzienlijke kostenvoordelen worden behaald. De sterke kapitaalbasis van AOT geeft de mogelijkheid nog meer te investeren in de snelgroeiende activiteiten van Binck.

Binck maakt sinds haar oprichting een zeer sterke groei door. Het klantenbestand is sinds de oprichting jaarlijks verdubbeld tot circa 10.000 eind 2003 en groeit momenteel in hoog tempo verder tot naar verwachting minimaal 16.000 actieve beleggers aan het einde van dit jaar. Naast particuliere beleggers bedient Binck ook wholesale cliënten. In dit segment is Binck marktleider met een marktaandeel van 25% op Euronext Amsterdam Derivatives Market. De ontwikkeling van de netto winst zal naar verwachting in belangrijke mate bepaald worden door de groei van het klantenbestand.

Details van de transactie

AOT bereidt haar (indirecte) belang van 52% in Binck uit naar 100% door de minderheidsaandeelhouders en Binck optiehouders uit te kopen. AOT betaalt voor de te verwerven aandelen en opties in Binck EUR 6,3 miljoen in cash en 6,5 miljoen nieuw uit te geven aandelen AOT, die bij de minderheidsaandeelhouders en optiehouders van Binck worden geplaatst, waarbij een ruilvoet van E2,00 per aandeel AOT is gehanteerd. Als gevolg van de transactie zullen de minderheidsaandeelhouders en optiehouders van Binck 21% van het vergrote aandelenkapitaal van AOT bezitten. Op de nieuw uit te geven aandelen is een "lock-up" overeenkomst van toepassing voor een periode van 4 jaar met beperkte verkoopmogelijkheden vanaf jaar 1.

Directie en Commissarissen

De directie van de combinatie zal worden gevormd door André Teeuw, nu directievoorzitter van AOT alsmede Thierry Schaap en Kalo Bagijn, momenteel respectievelijk algemeen en commercieel directeur van Binck. Aan de Algemene Vergadering van Aandeelhouders (AVA) van AOT zal worden voorgesteld om de Raad van Commissarissen (RvC) van AOT, naast de heer Ch.J. Langereis, uit te breiden met de heren J.K. Brouwer, nu AOT afgevaardigde in de RvC van Binck en de heren C.J.M. Scholtes en A.F. van Westerloo nu commissarissen bij Binck. De heer A.H.J. Risseeuw, momenteel voorzitter van de RvC van AOT, heeft te kennen gegeven te zullen terugtreden. De heer F. Delbaen, commissaris van AOT, heeft kenbaar gemaakt zich niet herkiesbaar te stellen bij de eerstvolgende AVA. De transactie zal ter goedkeuring worden voorgelegd aan de AVA van AOT die in verband met de tijd die de voorbereiding van de transactie vergt, niet zoals eerder gemeld op 20 april 2004 zal plaatsvinden maar op een nader aan te kondigen latere datum. Voorafgaand aan deze vergadering zal in verband met de voorgenomen uitgifte van nieuwe aandelen in het kader van deze transactie een prospectus worden gepubliceerd. Naast de voor een dergelijke transactie gebruikelijke opschortende voorwaarden is tevens als voorwaarde opgenomen dat De Nederlandsche Bank N.V. de vereiste verklaring van geen bezwaar zal afgeven.

Amsterdam, 15 March 2004 - AOT N.V. and Effectenbank Binck N.V. hereby announce that they have reached agreement about the acquisition by AOT of the 48% minority interest in Binck, so that Binck will effectively be wholly owned by AOT. Yesterday the two parties signed a letter of intent regarding this transaction.

André Teeuw, chairman of the board of AOT:

Rational transaction

Following the recent reorganisation within AOT, which led to termination of loss-making activities and significant cost structure improvement, the combination of AOT and Binck will result in a solid financial institution with excellent growth perspective and profit potential. Closer cooperation in the field of operational services and infrastructure, plus bundling of purchasing power, can furthermore lead to significant cost savings. The strong capital base of AOT creates the opportunity to keep investing in the fast-growing activities of Binck.

Binck has experienced astonishing growth ever since it was founded. Its customer base, which doubled annually since its establishment to some 10,000 by the end of 2003, is continuing to grow at a rapid pace and is expected to reach at least 16,000 active investors by the end of this year. In addition to private investors, Binck also services wholesale clients. In this segment it is market leader, with a market share of 25% on the Euronext Amsterdam Derivatives Market. The development of net profit is likely to be determined to a great extent by the growth of the customer base.

Details of the transaction

AOT will expand its indirect share in Binck from 52% to 100% by buying out Binck's minority shareholders and option holders. It will pay EUR 6.3 million in cash and 6.5 million new shares in AOT for the shares and options that it will acquire. The new shares will be issued to Binck's minority shareholders and option holders, applying an exchange ratio of EUR 2.00 per AOT share. As a result of the transaction, Binck's minority shareholders and option holders will own 21% of the enlarged share capital of AOT. The new shares are subject to a lock-up agreement for a period of four years, with restricted possibilities of sale as from year 1.

Directors and Supervisory Board

The Board of Directors of the new combination will consist of André Teeuw, currently chairman of the board of AOT, along with Thierry Schaap and Kalo Bagijn, currently CEO and Commercial Director of Binck, respectively. A proposal will be presented to the General Meeting of Shareholders of AOT to expand the Supervisory Board of AOT, of which Mr Ch.J. Langereis is a current member, with Mr J.K. Brouwer, presently AOT delegate in the Supervisory Board of Binck, and Messrs C.J.M. Scholtes and A.F. van Westerloo, who are now Supervisory Board directors of Binck. Mr A.H.J. Risseeuw, current chairman of the Supervisory Board of AOT, has given notice that he will step down from his position. Mr F. Delbaen, Supervisory Board Director of AOT, has announced that he will not run for re-election at the next General Meeting of Shareholders. The transaction will be submitted for approval by the General Meeting of Shareholders of AOT. In view of the time required for preparation of the transaction, this meeting will not be held on 20 April 2004 as announced earlier but on a later date that will be notified. Within the context of this transaction, a prospectus will be published prior to the meeting in light of the intended issue of new shares. In addition to the suspensive conditions that are customary for this type of transaction, the condition applies that the Dutch Central Bank issue a certificate of no objection as legally required.
