NIET VOOR VERSPREIDING OF VRIJGAVE IN EN BINNEN DE VERENIGDE STATEN, CANADA, JAPAN, BELGIË OF AUSTRALIË

Vopak tekent notariële akte splitsing: Univar beursgenoteerd per 1 juli 2002

Na goedkeuring van de afsplitsing door de Buitengewone Algemene Vergadering van Aandeelhouders op 17 juni 2002, maakt Koninklijke Vopak N.V. ("Vopak") bekend dat de notariële akte van afsplitsing vandaag is verleden. De chemische distributie-activiteiten worden met ingang van 29 juni 2002 naar de nieuw opgerichte onderneming Univar N.V. ("Univar") afgesplitst. Naar verwachting gaat de handel in gewone aandelen Univar op de Officiële Markt van Euronext Amsterdam N.V. op maandag 1 juli 2002 van start. Na afronding van de afsplitsing zal uiteindelijk één gewoon aandeel Univar worden ontvangen voor iedere twee aandelen Vopak die vandaag om 17.40 uur (de "record date") worden gehouden. Als gevolg hiervan zullen in totaal 29.963.986 gewone aandelen Univar worden genoteerd. Vopak zal 59.927.972 gewone aandelen hebben uitstaan.

Start handel in Univar en Vopak ex
Onvoorziene omstandigheden buiten beschouwing gelaten, wordt verwacht dat de handel in gewone aandelen Univar en Vopak ex op maandag 1 juli 2002 om 09.00 uur van start zal gaan. Vanaf 07.30 uur van die dag zal een bandbreedte van plus en minus 10% (de "Bandbreedte") van de theoretische openingskoers (de "Referentiekoers") van beide ondernemingen via de schermen van Euronext Amsterdam beschikbaar zijn.

In de Euronext Amsterdam handelssystemen zal een transactie (resulterend in een aandelenkoers) slechts dan plaatsvinden indien een koop- en verkooporder binnen de bandbreedte met elkaar te matchen zijn. Blijkt het niet mogelijk om binnen de eerste tien minuten een transactie binnen deze Bandbreedte te realiseren, dan wordt de Referentiekoers automatisch met plus of minus 10% bijgesteld. Blijkt het nog steeds niet mogelijk om een transactie binnen de bijgestelde Bandbreedte te realiseren, dan wordt de bijstelling na vier minuten herhaald (tot een maximum van tweemaal). Als deze automatische bijstellingen niet in een transactie binnen de Bandbreedte resulteren, vindt matching van de koop- en verkooporders handmatig plaats. Dit handelssysteem beoogt een geordende handel mogelijk te maken en te waarborgen. Om dit systeem op te starten dient een referentiekoers vastgesteld te worden, die tot de maximum- en minimumkoers leidt (de Bandbreedte).
